Terms of Service

1. Acceptance of Terms

By creating an account, joining the waitlist, or otherwise accessing the Service, you confirm that you are at least 18 years old, have the authority to enter into these Terms on behalf of yourself or your organization, and agree to comply with all applicable laws and regulations.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

oroForge provides a cloud-based Product Lifecycle Management (PLM) platform designed for hardware startups and small-to-mid-size hardware teams. Features include BOM management, change tracking, component data management, document storage, and related engineering operations tools. Specific features vary by subscription plan and may change over time.

3. Accounts and Registration

Account creation. To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

Account security. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at contact@oroforge.com if you suspect unauthorized access.

One account per user. You may not create multiple accounts or share your account with others unless your plan explicitly permits additional seats or roles.

4. Subscriptions, Billing, and Payment

Plans. oroForge offers Free, Team, and Enterprise subscription plans, as described on the Pricing page. Plan features and pricing are subject to change with reasonable notice.

Billing. Paid plans are billed on a monthly or annual basis, as selected at the time of purchase. All fees are in US dollars and are non-refundable except as expressly stated herein or required by applicable law.

Upgrades and downgrades. You may upgrade or downgrade your plan at any time. Upgrades take effect immediately; downgrades take effect at the start of the next billing cycle.

Cancellation. You may cancel your subscription at any time through your account settings. Upon cancellation, your access to paid features will continue until the end of your current billing period.

Failed payments. If payment fails, we may suspend or downgrade your account after reasonable notice until payment is resolved.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Upload, transmit, or store content that is unlawful, harmful, defamatory, or infringes the intellectual property rights of others
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service to build a competing product or service
• Scrape, crawl, or systematically extract data from the Service without our prior written consent
• Introduce malicious code, viruses, or other harmful materials
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

We reserve the right to suspend or terminate accounts that violate these restrictions.

6. Your Content

Ownership. You retain all ownership rights to the data, files, and content you upload to the Service (“Your Content”). We claim no intellectual property rights over Your Content.

License to us. By uploading Your Content, you grant oroForge a limited, non-exclusive, worldwide, royalty-free license to host, store, process, and display Your Content solely as necessary to provide the Service to you.

Responsibility. You are solely responsible for Your Content and for ensuring that you have the rights necessary to upload and use it within the Service.

Data portability. You may export Your Content at any time through the tools available in your account. Upon cancellation, we will make Your Content available for export for 30 days, after which it may be deleted.

7. Intellectual Property

The Service, including its design, code, features, and all oroForge-owned content, is the exclusive property of oroForge Inc. and is protected by copyright, trademark, and other applicable intellectual property laws. Nothing in these Terms transfers ownership of oroForge’s intellectual property to you.

“oroForge” and the oroForge logo are trademarks of oroForge Inc. You may not use our trademarks without our prior written consent.

8. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Third-Party Integrations

The Service may integrate with or link to third-party services (such as CAD tools, ERP systems, or component databases). These integrations are provided for your convenience and are subject to the third party’s own terms and privacy policies. oroForge is not responsible for the availability, accuracy, or practices of any third-party service.

10. Service Availability and Changes

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled or emergency maintenance with or without notice.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable advance notice for material changes where possible. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. OROFORGE DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OROFORGE INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, OR PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO OROFORGE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

13. Indemnification

You agree to defend, indemnify, and hold harmless oroForge Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, Your Content, or your violation of these Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in San Diego County, California, and you consent to personal jurisdiction in those courts.

15. Modifications to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last Updated” date above, or by sending notice to your registered email address. Continued use of the Service after the effective date of the updated Terms constitutes your acceptance.

16. Termination

We may suspend or terminate your access to the Service at any time for cause (including violation of these Terms) with or without notice. You may terminate your account at any time by cancelling your subscription and deleting your account. Upon termination, your license to use the Service ends immediately.

Sections 6 (Your Content — data portability window), 7, 11, 12, 13, and 14 survive termination.

17. Entire Agreement

These Terms, together with our Privacy Policy and any supplemental terms applicable to specific features or plans, constitute the entire agreement between you and oroForge Inc. regarding the Service and supersede all prior agreements or understandings.
